1. PROMOTION PERIOD: The Promotion begins at 12:00:00 a.m. (midnight) ET on 9/22/25 and ends at 11:59:59 p.m. on 10/5/25. The computer clock of the Administrator is the official time-keeping device in the Promotion. A “day” begins at 12:00 a.m. ET and ends at 11:59 p.m. ET during the Promotion Period.
2. ELIGIBILITY: This Promotion is open only to legal U.S. residents currently residing in the U.S. who are 18 years or older (19 in AL & NE, 21 in MS) and a Moe Rewards Member at the time of participation. The following individuals are ineligible: employees, contractors, directors, and officers (“employees et al”) of Moe’s Franchisor SPV LLC (“Sponsor”) and of their respective parents, subsidiaries and affiliated companies, distributors, Web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Promotion (collectively “Sponsor and Promotion Parties”), and the immediate family members (spouse, parent, child, sibling, grandparent, and/or “step” of each) and those living in the same households as such employees.

3. HOW TO PLAY THE INSTANT WIN GAME: During the Promotion Period, go to MoeValueMeal.com (the “Website”). Once at the Website, follow the prompts and on-screen instructions to participate. The first time an entrant visits the Website, they will be required to provide their First & Last Name, valid Email Address, Mailing Address, Phone Number, Date of Birth and they will also be required to opt-in to the Official Rules. Each following visit, entrants will only be required to enter the email address they entered during their first visit. Once contact information or email address is entered, entrants must follow the on-screen instructions to play the game (a “Game Play”). Once a Game Play is submitted, they will receive an on-screen message letting them know if they are a potential Instant Winner. Once on-screen message is received, the Game Play will be complete.
Limit of one (1) Game Play per person/email address per day. Any attempt to submit Game Plays using multiple or different email addresses, identities, accounts, or any other methods will void that entrant’s Game Plays. Participation in this Instant Win Game constitute entrant’s full and unconditional agreement to these Official Rules and their agreement that the information provided during entry may be used by the Sponsor or Promotion Parties (as defined in Section 2) to contact them in any matters relating to this Promotion. In the event that a household attempts to enter the Promotion using more than four (4) e-mail addresses), all of the Game Plays associated with that household (determined by Sponsor and/or Administrator in their sole discretion) may be disqualified. If it is discovered or suspected that an entrant plays or attempts to receive more than the stated limit of Game Plays, all of that entrant’s Game Plays, in Sponsor’s sole discretion, may be declared null and void and any prize(s) they might have been entitled to will not be awarded to them. Such instances are at the sole determination of the Sponsor.
The use of automated entry or similar devices is prohibited and Game Plays through such prohibited devices are void. Sponsor reserves the right to void any and all Game Plays of an entrant who Sponsor believes has attempted to tamper with, influence, or impair the administration, security, fairness, judging or proper play of the Promotion.
4. HOW TO ENTER INTO THE GRAND PRIZE DRAWING (“GRAND PRIZE DRAWING” OR “SWEEPSTAKES”): Each completed Game Play will automatically give entrant one (1) entry into the Grand Prize Drawing (“Grand Prize Entry”). Limit one (1) Grand Prize Entry per person/email per day.
5. PRIZES:
A. Instant Win Prizes/Odds: There are one-thousand (1,000) Instant Win Prizes available. Each Instant Win Prize consists a code good for one (1) Free Moe’s Value Meal (the “offer”). You must be a Moe Reward Member to redeem code. Offer includes one Junior Burrito, one 2 oz side of Queso, and one Regular Drink for $9.95 (excluding taxes & and other upcharges – including Premium Proteins and Burrito add-ons). No substitutions. Not valid with any other offer or reward, or third- party delivery. Other fees and taxes may apply, see checkout for details. Sponsor reserves the right to end or modify this offer at any time. Void where prohibited. Approximate Retail Value (“ARV”) of each Instant Win Prize: $9.95
There will be 1,000 random, pre-determined computer-generated winning times seeded over the course of the Promotion Period. If entrant’s Game Play, as described in Section 3, is the first one received on or just after one of those predetermined times, they will be considered a potential Instant Winner and they will be eligible to win the Instant-Win Prize designated at that time. The number of Instant Win Game Prizes available to be won will decrease during the Promotion Period as Prizes are awarded. Odds of winning an Instant-Win Prize depend on the time the Game Play is received and the total number of prizes remaining at the time of the Game Play. Limit of one (1) Instant Win Prize per person/email address/household.
B. Grand Prize/Odds: One (1) Grand Prize will be awarded, consisting of a Year’s Supply of Moe’s Value Meals. One redeemable offer for one (1) Free Moe’s Value Meal will be deposited into the winner’s Moe Rewards account each week for one year (52 total). Reward expires at the end of each week. You must be a Moe Reward Member to redeem offer. Offer includes one Junior Burrito, one 2 oz side of Queso, and one Regular Drink for $9.95 (excluding taxes & and other upcharges – including Premium Proteins and Burrito add-ons). No substitutions. In the event the Moe Value Meal is no longer available during the year, the prize will be substituted for a reward good for one (1) free burrito deposited into the winner’s Rewards account each week for the balance of the year. The one (1) burrito per week reward excludes add-ons, extras, premium proteins, taxes and fees. Rewards will be delivered at the beginning of each week and will expire at the end of that week (7 days). If the winner does not live within 100 miles of a Moe’s Southwest Grill location, Sponsor may, in their sole discretion, substitute the prize for an alternative prize of equal or greater value.
Odds of winning a Grand Prize will depend on the total number of eligible Grand Prize Entries.
In the event of a dispute over the identity of a potential Instant Win Winner or Grand Prize Winner, Game Play or Grand Prize Entry will be declared submitted by the authorized account holder of such email address or Rewards account submitted at the time of entry, and potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of such email address or Rewards account. It is the sole responsibility of the entrant to notify the Sponsor in writing if the entrant changes his or her email, wireless phone number or postal address during the Promotion Period. Game Plays and Grand Prize Entries become the property of Sponsor and will not be returned, and in some instances, will not be acknowledged. Automated and/or repetitive electronic submission of Game Plays (including but not limited to Game Plays made using any script, macro, bot or sweepstakes service) will be disqualified and transmissions from these or related email/IP addresses or wireless phone number may be blocked. Sponsor is not responsible for lost, late, misdirected or incomplete Game Plays. Game Plays or Grand Prize Entries not in conformance with these Official Rules may be disqualified in Sponsor’s sole discretion. Sponsor’s decisions on all matters relating to this Instant Win Game and Sweepstakes are final and binding.
Total Approximate Retail Value of all Prizes: $10,467.40.
6. GRAND PRIZE DRAWING: Potential Grand Prize Winner will be selected in a random drawing from among all eligible Grand Prize Entries received during the Promotion Period. The drawing will be conducted on or about 10/6/25 by an independent judging agency, whose decisions are final and binding.
7. WINNER NOTIFICATION: Instant Winners will be notified via an on-screen message, as described in Section 3, and will receive their Instant Win Prize automatically at the time of Game Play completion. Potential Grand Prize Winner will be notified by email and/or phone at the email address or phone number associated with their Moe’s Rewards Account or provided at the time of initial Game Play participation, within approximately three (3) days of Grand Prize Drawing (the “Winner Notification”). The potential Grand Prize Winner will be required to respond as directed in the Winner Notification within seventy-two (72) hours of Sponsor or its representative sending the Winner Notification, or prize will be forfeited and may be awarded to an alternate winner, in Sponsor’s sole discretion. Sponsor is not responsible for suspended or discontinued wireless service or a change in the entrant’s telephone number or email address, which may result in a potential winner not receiving the Winner Notification. In the event (i) the potential winner fails to respond to the Winner Notification as directed within seventy-two (72) hours; (ii) if winner is otherwise unable to accept the prize as stated, (iv) or if winner is determined to be ineligible or not in compliance with these Official Rules, that potential winner will be disqualified and the prize will be forfeited and may be awarded to an alternate winner, in Sponsor’s sole discretion. Prizes will only be delivered to a winner with an address within the U.S.
8. LIMITATIONS OF LIABILITY: Sponsor and Promotion Parties assume no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Promotion; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Promotion; (d) inaccessibility or unavailability of any network or wireless service, the Internet or the Website or any combination thereof; (e) suspended or discontinued Internet, wireless or land line phone service; or (f) any injury or damage to participants or to any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in the Promotion. If, for any reason, the Promotion is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion in whole or in part. In such event, Sponsor shall immediately suspend all drawings and prize awards, and Sponsor reserves the right to award any remaining prizes (up to the total set forth in these Official Rules) in a manner deemed fair and equitable by Sponsor, such as by way of example and not by way of limitation, in a random drawing from among all eligible, non-suspect Game Play entries received up to the time of the impairment, and Sponsor shall not have any further liability to any participant in connection with the Promotion. Sponsor may modify and amend these Official Rules as they may appear online from time to time during the Promotion for clarification purposes without materially affecting the terms and conditions of the Promotion. Sponsor makes no representations or warranties of any kind concerning the appearance, performance or safety of any prize awarded.
9. WINNERS’ RELEASES: By participating in the Promotion, entrants release Sponsor and Promotion Parties, prize suppliers, and each of their parent companies, affiliates, subsidiaries, divisions, advertising/promotion agencies, and all of their respective employees, directors, officers, shareholders, agents, successors and assigned (collectively the “Released Parties”), from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with submitting an entry or otherwise participating in any aspect of the Promotion, the receipt, ownership or use of any prize awarded, or while preparing for, participating in or traveling to or from any prize-related activity or any typographical or other error in these Official Rules or the announcement or offering of any prize. The winner shall bear all risk of loss or damage to their prize after it has been delivered. The Released Parties make no representations or warranties of any kind concerning the appearance, safety or performance of any prize. Except where prohibited by law, winner grants to Sponsor the right to print, publish, broadcast and use worldwide in any media now known or hereinafter known, the Grand Prize Winner’s name, address, voice, statement, picture or other likeness, without additional compensation, for public relations, advertising and promotional purposes as may be determined by Sponsor.
10. GENERAL CONDITIONS: This Promotion is governed by the laws of the United States and of the State of Georgia without respect to conflict of law doctrines. Prize Winner is solely responsible for any and all taxes and related expenses on the prize and may receive an IRS Form 1099 for the ARV of any prize over $600. Unclaimed prize(s) will not be awarded. Non-cash prizes may not be exchanged for their cash value. All other expenses on the receipt and use of the prizes not specifically mentioned herein are solely the responsibility of the winner. Any difference between the stated value of any prize and the actual retail value will not be awarded. Any portion of a prize not accepted by winner will be forfeited. Upon forfeiture for any reason as stated in these Official Rules, no compensation will be given. All federal, state and local laws and regulations apply. Any personal information provided in connection with participation in the Promotion will only be used by Sponsor to notify a potential winner and/or fulfillment of a prize and shall be subject to Moe’s Privacy Policy available at https://www.moes.com/privacy#ca.
11. CONDUCT: By participating in this Promotion, entrants agree to be bound by these Official Rules and the decisions of the Sponsor, which shall be final and binding in all respects. Failure to comply with these Official Rules may result in disqualification. Sponsor reserves the right, at its sole discretion, to disqualify any individual found to be tampering with the entry process or the operation of the Promotion; or to be acting in any manner deemed by Sponsor to be in violation of the Official Rules; or to be acting in any manner deemed by Sponsor to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A USER OR PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS PROMOTION OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND ITS AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
12. ARBITRATION: By participating in this Promotion, each entrant agrees: (i) that any and all disputes the entrant may have with, or claims entrant may have against, the Sponsor relating to, arising out of or connected in any way with (a) the Promotion, (b) the awarding or redemption of any prize, and/or (c) the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a sole arbitrator in accordance with the rules of JAMS; (ii) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1-16; (iii) the arbitration shall be held in Atlanta, Georgia; (iv) the arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable entrant may have entered into in connection with the Promotion; (v) the arbitrator shall apply Georgia law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (vi) there shall be no authority for any claims to be arbitrated on a class or representative basis, arbitration can decide only entrant’s and/or Sponsor’s individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (vii) the arbitrator shall not have the power to award punitive damages against the entrant or Sponsor; (viii) if the entrant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of entrant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (ix) with the exception of subpart (vi) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the rules of JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (vi) is found to be invalid, unenforceable or illegal, then the entirety of this arbitration provision shall be null and void, and neither entrant nor Sponsor shall be entitled to arbitrate their dispute. 13. WINNERS LIST: To obtain a copy of any legally required winner’s list, send a self-addressed stamped envelope to: “Moe Value Meal Game Show” Sweepstakes Winner’s List, Moe’s Southwest Grill, 5620 Glenridge Drive NE, Atlanta, GA 30342. All such requests must be received within six (6) weeks after the end of the Promotion Period.
